Key Morningstar Metrics for Worldline

Potential turnaround jeopardized by mounting regulatory issues

We reinitiate coverage of Worldline, the European payment services provider, which has been under pressure for processing payments for high-risk clients. Worldline has been advertising a potential turnaround in the second half of 2025, but new media allegations threaten this endeavor.

The bottom line: We reinitiate coverage with a EUR 3.80 per share fair value estimate, economic moat rating of none, Poor Capital Allocation Rating, and Extreme Uncertainty Rating. Shares are fairly valued.

  • Our fair value estimate is a probability-weighted average of our base case (40% likelihood - EUR 4.90 fair value estimate), a debt-rating downgrade to junk scenario (30% - EUR 3.10), a capital raise scenario (10% - EUR 4.10 fair value estimate), insolvency (10% - EUR 0 fair value estimate), and an asset sale scenario (10% - EUR 5.20).
  • Worldline’s assets have moaty characteristics, but we see a material risk of value destruction, resulting in a no-moat rating. Worldline’s high operating leverage mixed with negative media reporting threatens Worldline’s ability to extract economic profits from its assets, in our view.

Between the lines: Media allegations hint at business ethics issues within Worldline that go beyond lax compliance procedures, such as knowingly attracting and processing clients using fraudulent business practices. We can’t verify these claims and raise our Uncertainty Rating to Extreme as a result.

  • Our Poor Capital Allocation Rating reflects our view that Worldline is part of an industry consolidating at high multiples. Although the rational strategy is to grow inorganically to drive scale advantages, investors are taking on significant short-term execution risk for economic profits further down the line.

Coming up: Worldline hired two external firms to conduct audits of its remaining high-risk client portfolio and its current compliance and risk framework. First outcomes are expected on July 28, and the full reports are scheduled to be released on Oct. 21.
